Incoterms – Legal Classification
Are Incoterms® Superior to National or EU Law? Do They Override Domestic Law?
Short and clear: Incoterms® are not statutory law—neither superior to national law nor to EU law. Consequently, they do not override (“break”) domestic or EU legislation. Incoterms® apply only if they are expressly incorporated into the contract and must always be interpreted within the framework of the applicable legal system.
1. Incoterms® as Contractual Rules (Not Law)
Incoterms® are standard trade rules issued by the International Chamber of Commerce (ICC). They are not legislation and have no automatic legal effect. They become binding only through explicit contractual agreement between the parties. Without such agreement, statutory national and EU rules apply under general contract law.

2. Incoterms® and German Law
Once incorporated, Incoterms® are treated under German law as contractual terms (often comparable to standard terms and conditions).They are subordinate to mandatory provisions of German law.
Mandatory rules—for example on customs, export controls, taxation, product safety, or consumer protection—prevail over Incoterms®, regardless of the chosen delivery term.
An Incoterm cannot waive or replace statutory obligations imposed by German law.
3. Incoterms® and EU Law

EU law has primacy over national law and applies directly to businesses operating in the EU. Private contractual arrangements, including Incoterms®, cannot derogate from mandatory EU law.
This applies in particular to EU customs law, sanctions regimes, export controls, and trade compliance rules.
The obligation to comply with EU law exists independently of the selected Incoterm (e.g. EXW, DAP, DDP).
4. Conclusion

Incoterms® are contractual standards, not superior legal norms. They cannot override or replace mandatory national or EU law.

Companies must ensure that Incoterm clauses are fully compliant with applicable statutory requirements, especially in areas such as customs, sanctions, export/import controls, taxation, and regulatory compliance.
